Terms of Service

These Terms of Service ("Terms") are an agreement between you and ShopDesk LLC ("ShopDesk", "we", "us"), governing your access to and use of the ShopDesk shop-management application (the "Service"). By creating an account, you agree to these Terms and to our Privacy Policy.

1. Who can use ShopDesk

You must be at least 18 years old and authorized to act on behalf of the business you're registering (the "Shop") to create an account. You're responsible for keeping your login credentials confidential and for all activity under your account.

2. Your data, your customers

Your Shop retains ownership of the data you enter into ShopDesk — your customer records, vehicle history, work orders, and invoices. You are solely responsible for having the right to collect and store your customers' personal information (names, contact details, vehicle data, photos) and for complying with any law that applies to your business's own handling of that data. ShopDesk processes it on your behalf as described in our Privacy Policy, and only in order to provide the Service to you.

3. Subscription, billing & cancellation

• ShopDesk is a paid subscription service, currently $40.00/month, billed through our payment processor, Stripe.
• Your subscription automatically renews every month and your payment method will be charged on each renewal date until you cancel.
• You can cancel at any time from the billing portal in your account Settings — cancellation takes effect at the end of your current billing period, and you keep access until then.
• If a payment fails, you keep full access for 7 days while you update your payment method. After that, access is limited to the billing page until payment goes through. Your data is not deleted during this time.
• Fees are non-refundable except where required by law; we don't prorate partial-month refunds.
• We may change our pricing with reasonable advance notice; continued use after a price change takes effect means you accept the new price.
• Discount/promo codes, where offered, are subject to whatever additional terms are stated at the time they're offered and may be modified or withdrawn at our discretion.

4. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose, or to store data you don't have the right to store
• Attempt to access another Shop's data or bypass account/data isolation
• Reverse-engineer, decompile, or attempt to extract the Service's source code, except as permitted by law
• Interfere with or disrupt the Service's infrastructure, or attempt to circumvent rate limits or security controls

5. Availability

We aim to keep ShopDesk available and reliable, but we don't guarantee uninterrupted access. We may perform maintenance, and rarely, the Service may be unavailable due to factors outside our control (e.g. an outage at our cloud infrastructure provider).

6. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Service will be error-free or uninterrupted.

7. Limitation of liability

To the maximum extent permitted by law, ShopDesk will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim arising out of these Terms or the Service is limited to the amount you paid us in the 12 months before the claim arose.

8. Indemnification

You agree to indemnify and hold ShopDesk harmless from claims arising out of your (or your Shop's) misuse of the Service, violation of these Terms, or violation of any law in connection with data you input about your own customers.

9. Termination & data retention

Either party may terminate the account relationship at any time. We may suspend or terminate accounts that violate these Terms or go unpaid. After your account is closed, we retain your data for approximately 90 Days to allow for reactivation or legally required recordkeeping, after which it is permanently deleted — see our Privacy Policy for details.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the date above and, where appropriate, notify you by email. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

11. Governing law

These Terms are governed by the laws of the State of Massachusetts, without regard to conflict-of-laws principles.
